Welcome to IIRTH LLC (“ZAIIE”, “we”, “our” or “us”). These Terms & Conditions ("Terms") apply to your use of our prelaunch landing page (the "Site"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Prelaunch Site

ZAIIE is currently in a prelaunch phase. The Site is provided for informational and promotional purposes only. No products or services are available for purchase at this time. Features, content, and information may change before our official launch.

Email Signup

By submitting your email address on the Site, you agree to receive updates, launch announcements, product news, and early-access offers from ZAIIE. You may unsubscribe at any time by clicking the link included in any email.

Intellectual Property

All content on the Site—including text, graphics, logos, images, and branding—is the property of ZAIIE and is protected by copyright and trademark laws. You may not copy, reproduce, distribute, or use any content without our prior written permission. The "ZAIIE" name and our logos, product or service names, slogans, and the look and feel of our Site are trademarks of ZAIIE and may not be copied, imitated or used, in whole or in part, without our prior written permission.

Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or for any purpose other than your personal, non-commercial purpose
• Attempt to gain unauthorized access to the Site or its systems
• Interfere with or disrupt the operation of the Site
• Submit false, misleading, or fraudulent information
• Impersonate or post on behalf of any person or entity or otherwise misrepresent your affiliation with a person or entity
• Copy, reproduce, distribute, publicly perform, or publicly display all or portions of the Site, except as expressly permitted by us
• Use the site in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Site or that could damage, disable, overburden, or impair the functioning of the Site in any manner
• Use any data mining, robots, or similar data gathering or extraction methods designed to scrape or extract data from our Site except in accordance with instructions contained in our robot.txt file and only to compile for search results
• Send, distribute, or post spam, unsolicited or bulk commercial electronic communications, chain letters, or pyramid schemes

We may restrict access to anyone who violates these rules.

No Warranties

The Site and all prelaunch content are provided "as is" and "as available." We make no representations or warranties regarding completeness, accuracy, reliability, or future availability of any information on the Site.

Indemnification

To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless ZAIIE and our subsidiaries and affiliates, and each of our respective officers, directors, employees, partners and agents (individually and collectively, the “Company Parties”) from and against any losses, liabilities, claims, demands, damages, expenses or costs (“Claims”) arising out of or related to: (a) your access to or use of our Site (including any acts and/or omissions); (b) your violation of these Terms; or (c) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights or privacy rights). You will cooperate with the Company Parties in defending third-party Claims and pay all fees, costs, and expenses associated with defending such third-party Claims (including attorneys’ fees). The Company Parties will have control of the defense or settlement, at ZAIIE’s sole option, of any third-party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and ZAIIE or the other Company Parties.

Limitation of Liability

To the fullest extent permitted by law, ZAIIE is not responsible for any indirect, incidental, special, or consequential damages, or any loss of data, arising from your use of, or inability to use, the Site. This includes any errors, interruptions, or inaccuracies in content. The total liability of ZAIIE and the other Company Parties to you (whether occurring under these Terms or otherwise), regardless of the form of the action, is limited to the amount paid by you to use our Site giving rise to the claim or $100 USD, whichever is greater.

Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (collectively, “Disputes”) shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Except as otherwise provided below, the parties agree that all Disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect (or, if you are an individual consumer, the AAA Consumer Arbitration Rules, if applicable). The arbitration shall be conducted before a single arbitrator, seated in New York County, New York, and the language of the arbitration shall be English. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties agree that arbitration shall be conducted on an individual basis only, and not in a class, collective, consolidated, private attorney general, or representative action. The arbitrator shall not have authority to consolidate claims or to preside over any form of representative or class proceeding. By agreeing to arbitration, you and ZAIIE are waiving the right to a trial by jury or to participate in a class action. Notwithstanding the foregoing, either party may (i) bring an individual action in small claims court in New York County, New York, or any U.S. jurisdiction with competent authority; and/or (ii) seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property or proprietary rights. For any such actions, the parties agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and each party waives any objection to jurisdiction or venue in such courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

Donation Commitment

ZAIIE will donate $1 to Thamra for every valid email signup received during our prelaunch period, up to a maximum total donation of $5,000. A "valid email signup" means a unique email address submitted through our signup form as determined in ZAIIE’s sole discretion. ZAIIE reserves the right to verify signups and to decline fraudulent or duplicate submissions. This initiative may end early if the donation cap is reached.

Thamra is an independent third-party entity and is not a 501(c)(3) charitable organization. ZAIIE does not control, manage, operate, or supervise Thamra or its activities, and does not act as an agent, partner, joint venturer, or commercial co-venturer with Thamra. ZAIIE makes no representations or warranties, express or implied, regarding Thamra and disclaims all responsibility or liability for Thamra and its operations, products, services, or activities.

This Privacy Policy explains how IIRTH LLC ("ZAIIE", "we", "us", or "our") collects, uses, and protects your information during our prelaunch period. This policy applies only to our current prelaunch landing page (the "Site"). Once our full site and store launch, we will update this policy to reflect our expanded features and data practices.

Information We Collect

We collect only your email address when you provide it to us when joining our waitlist or signing up for updates.

How We Use Your Information

We collect only your email address for the following business and commercial purposes:

• Service Delivery: we use information to provide and maintain our Site.
• Communication: we use information to communicate with you about ZAIIE and our launches, including to send you newsletters, respond to your questions, inform you of price or Site changes, and send you other transactional or relationship messages.
• Marketing and Advertising: we use information to send direct marketing messages (including via email) and target advertisements to you on third-party platforms and websites as described below. You can opt out of direct marketing messages we send by following the instructions in those communications (such as by clicking "unsubscribe" in the emails) or by contacting us.
• Conducting Analytics: we use information to monitor and analyze Site trends, usage, and activities, improve our Site, and generate de-identified data.
• Protection and Compliance: we use information to detect, investigate, and help prevent security incidents and other malicious, deceptive, fraudulent, or illegal activity, help protect the rights and property of ZAIIE and others, and comply with our legal and financial obligations.

Sharing Your Information

We may disclose your email address as follows:

• Vendors: we disclose information to vendors, service providers, contractors and consultants that need this information to provide services to us, such as companies that assist us with web hosting, payment processing, customer service, analytics, and marketing and advertising.
• Professional Advisors: we disclose information to our lawyers and other professional advisors where necessary to obtain advice or otherwise protect and manage our business interests.
• Legal Authorities: we may disclose information to legal authorities and others for the Protection and Compliance purposes described above, including if we believe that disclosure is in accordance with, or required by, any applicable law or legal process, including lawful requests by public authorities to meet national security or law enforcement requirements and if we believe that your actions are inconsistent with our user agreements or policies, if we believe that you have violated the law, or if we believe it is necessary to protect the rights, property, and safety of ZAIIE, our users, the public, or others.
• Corporate Transactions: we reserve the right to disclose information in connection with, or during negotiations of certain corporate transactions, including the merger, sale of company assets, financing, or acquisition of all or a portion of our business by another company.
• Affiliates: we reserve the right to disclose information between and among ZAIIE and any current or future parents, affiliates, subsidiaries, and other companies under common control and ownership.
• Consent: we may disclose information when we have your consent or you direct us to do so.

We also disclose de-identified information that cannot reasonably be used to identify you.

Transfer of Information

ZAIIE is headquartered in the United States and we have operations and vendors in the United States and other countries. Therefore, we and those that perform work for us may transfer your information to, or store or access it in, jurisdictions that may not provide levels of data protection that are equivalent to those of your home jurisdiction.
